By accessing or using IncomePro (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. IncomePro is operated by Apex Wealth (“Company,” “we,” “us,” or “our”).
IncomePro is a software-as-a-service platform designed for financial advisors to create income allocation plans, retirement projections, and financial reports for their clients. The Service includes financial modeling tools, client management features, and report generation capabilities. The Service is provided on an “as is” and “as available” basis.
To use IncomePro, you must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. You acknowledge that you are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and professional standards governing your practice as a financial advisor.
New users receive a 7-day free trial with full access to Professional-tier features. No credit card is required to start the trial. After the trial period expires, access to the platform will be restricted until you subscribe to a paid plan. The free trial is subject to the same terms and conditions as paid subscriptions, including all disclaimers and limitations of liability.
IncomePro offers paid subscription plans billed on a monthly basis with a 12-month annual commitment. By subscribing, you agree to pay the applicable monthly fee for a minimum of 12 consecutive months. Early termination of the 12-month commitment does not relieve you of your obligation to pay the remaining balance. After the initial 12-month period, your subscription will continue on a month-to-month basis and may be canceled with 30 days' written notice.
All fees are non-refundable except as provided in our 30-day money-back guarantee for new subscriptions. Prices are subject to change with 30 days' advance notice. Payment is processed securely through Stripe. Failure to pay applicable fees may result in suspension or termination of your account.
You agree to use IncomePro only for lawful purposes and in accordance with these Terms. You shall not use the Service to store or transmit malicious code, attempt to gain unauthorized access to the Service or its related systems, use the Service in any way that could damage, disable, or impair the platform, resell or redistribute the Service without our written consent, or use the Service to process data for which you have not obtained appropriate consent from the data subjects.
You retain full ownership of all data you input into IncomePro, including client information, financial data, and generated reports. We do not claim ownership of your content. You grant us a limited, non-exclusive license to process and store your data solely for the purpose of providing the Service.
You are solely responsible for the accuracy, legality, and appropriateness of all data you enter into the platform. You represent and warrant that you have obtained all necessary consents and authorizations from your clients before entering their personal and financial information into IncomePro. We are not responsible for any claims arising from your failure to obtain proper authorization from your clients.
IncomePro is a planning and modeling tool only. The projections, calculations, and reports generated by the Service are for informational and planning purposes only and do not constitute financial, investment, tax, or legal advice. We are not a registered investment advisor, broker-dealer, financial planner, or fiduciary.
You are solely responsible for the advice you provide to your clients and for verifying the accuracy and suitability of any projections or reports generated by the Service before presenting them to clients. We make no guarantees about the accuracy of projections, market assumptions, tax calculations, or any other output of the Service. You acknowledge that financial markets involve risk and that past performance does not guarantee future results.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA, CALCULATIONS, PROJECTIONS, OR REPORTS GENERATED BY THE SERVICE.
You acknowledge that financial planning involves inherent uncertainties and that no software tool can guarantee accurate predictions of future financial outcomes. You assume all risk associated with reliance on the Service's outputs.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INCOMEPRO, APEX WEALTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND DOLLARS ($1,000 USD).
WITHOUT LIMITING THE FOREGOING, WE SHALL HAVE NO LIABILITY FOR ANY FINANCIAL LOSSES, INVESTMENT LOSSES, OR CLIENT CLAIMS ARISING FROM DECISIONS MADE BASED ON PROJECTIONS, REPORTS, OR DATA GENERATED BY THE SERVICE. YOU ACKNOWLEDGE THAT YOU ARE A LICENSED FINANCIAL PROFESSIONAL AND BEAR SOLE RESPONSIBILITY FOR THE ADVICE YOU PROVIDE TO YOUR CLIENTS.
You agree to indemnify, defend, and hold harmless Apex Wealth, IncomePro, and their officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, the financial advice or services you provide to your clients using data or reports generated by the Service, your failure to obtain proper authorization from your clients for the data entered into the platform, or any claim by a third party related to your use of the Service.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Georgia, and the arbitrator's decision shall be final and binding.
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Apex Wealth or IncomePro.
We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, power outages, internet or telecommunications failures, cyberattacks, or third-party service provider outages.
We may suspend or terminate your access to IncomePro immediately and without prior notice if you violate these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe may expose us to liability. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination. Sections 8 through 13 of these Terms shall survive any termination or expiration of this agreement.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Apex Wealth regarding your use of IncomePro and supersede all prior agreements, understandings, and representations.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the platform at least 30 days before changes take effect. Your continued use of IncomePro after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
